Terms & Conditions

These Terms and Conditions set out the basis on which solenvos provides advisory, workshop, and planning services to clients. By engaging any of our services, you confirm that you have read and understood these terms. If any part is unclear, please reach out before proceeding.

1. About solenvos

solenvos is an advisory practice based in Kuala Lumpur, Malaysia. We provide operational advisory, facilitated workshops, and planning support relating to AI hardware efficiency and sustainability. Our registered address is Jalan Pinang 27, 50450 Kuala Lumpur, Wilayah Persekutuan.

2. Scope of These Terms

These terms apply to all engagements entered into with solenvos, including but not limited to:

  • Efficiency Awareness Workshops
  • Lifecycle Planning Advisory engagements
  • Sustainability Advisory Retainer arrangements
  • Any associated documentation, resources, or sessions

These terms apply to the extent that no separate written agreement between the parties overrides them.

3. Services Provided

solenvos provides general operational advisory and educational services. Our work is structured to help organisations develop internal awareness and planning approaches. We do not provide regulated professional services including legal, financial, medical, or investment advice.

Deliverables, session structures, and scope details are described in the relevant service description or agreed engagement brief. Any changes to scope should be confirmed in writing by both parties.

4. Engagement and Confirmation

An engagement is considered confirmed when both parties have agreed in writing (including via email) to the scope, timeline, and fee. solenvos will not commence billable work until written confirmation is received.

5. Fees and Payment

Fees are stated in Malaysian Ringgit (MYR) unless otherwise agreed. Payment terms are outlined in the engagement brief or invoice. Standard terms are:

  • Workshop engagements: payment prior to session date
  • Project-based engagements: 50% on confirmation, 50% on delivery of final document
  • Retainer engagements: quarterly in advance

Late payments may result in a pause of engagement activities until outstanding amounts are settled. solenvos reserves the right to apply a reasonable late payment charge where invoices remain unpaid beyond agreed terms.

6. Cancellation and Rescheduling

6.1 Client Cancellations

Cancellations made more than five (5) business days before a scheduled session or milestone date will be handled without charge. Cancellations made within five (5) business days may result in a partial fee being retained to cover preparation work already completed.

6.2 Rescheduling

We are generally happy to accommodate reasonable rescheduling requests provided sufficient notice is given. Rescheduling requests made within 48 hours of a confirmed session are subject to availability and may not always be possible.

6.3 solenvos-Initiated Changes

If solenvos needs to reschedule a session due to unforeseen circumstances, we will provide as much notice as possible and offer alternative arrangements at no additional cost.

7. Intellectual Property

All materials, frameworks, templates, and documents produced by solenvos as part of an engagement remain the intellectual property of solenvos unless a written agreement explicitly transfers ownership. Upon full payment, clients receive a non-exclusive licence to use the deliverables internally for the purposes described in the engagement brief.

Clients may not resell, redistribute, or present solenvos-produced materials as their own without prior written agreement.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. solenvos will not disclose client information to third parties without consent, except where required by law or where such information is already publicly available.

Clients are similarly expected to treat solenvos's methodologies and internal frameworks as confidential.

9. Limitation of Liability

solenvos's services are advisory and educational in nature. We do not accept responsibility for business outcomes, operational decisions, or any losses arising from the application or non-application of guidance provided. All advice is offered in good faith based on information available at the time.

To the extent permitted by applicable law, solenvos's total liability in connection with any engagement is limited to the fees paid for the specific service that gave rise to the claim.

10. Warranties and Representations

solenvos warrants that services will be delivered with reasonable care and skill. We do not make representations about specific outcomes, performance improvements, or operational results. Clients are responsible for assessing the suitability of any advisory input for their particular context.

11. Use of Client Information

Any personal data collected during an engagement is handled in accordance with our Privacy Policy and applicable Malaysian data protection requirements. We collect only what is necessary to deliver services and do not share it for commercial purposes.

12. Governing Law

These terms are governed by the laws of Malaysia. Any disputes arising from or related to these terms shall be subject to the jurisdiction of the courts of Malaysia.

13. Changes to These Terms

solenvos may update these Terms and Conditions from time to time. Material changes will be communicated to active clients. Continued use of our services following an update constitutes acceptance of the revised terms.
